Terms of Service

These Terms of Service ("Terms") govern your access to and use of warraaq.com and the Warraaq application (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

2. The Service

Warraaq is a tool that helps you analyze your business, build a brand profile, and generate marketing content in Arabic, English, and French, along with related features. We may add, change, or remove features over time to improve the Service.

3. Your account

You must provide accurate information when registering and keep it up to date. You are responsible for activity that occurs under your account and for keeping your login credentials secure. Notify us promptly if you believe your account has been used without your permission.

4. Subscriptions, trials, and billing

• Plans: the Service is offered through paid subscription plans, billed in advance on a recurring basis, with monthly or annual billing depending on the plan you choose.
• Free trial: if we offer a trial, it may require a valid payment method. Unless you cancel before the trial ends, your subscription will begin and the applicable fee will be charged.
• Auto-renewal: subscriptions renew automatically each billing period until cancelled. You authorize us and our payment provider to charge your payment method for each renewal.
• Cancellation: you may cancel at any time from your account. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then: the end of the current month for monthly plans, or the end of the current year for annual plans. After that, the subscription does not renew.
• Refunds: payments are handled as described in our Refund and Cancellation Policy.
• Price changes: we may change prices, and will give you reasonable notice before a change applies to your subscription.
• Taxes: fees are exclusive of taxes, which you are responsible for where applicable.
• Payments: payments are processed by our payment provider, Stripe, and are also subject to Stripe's terms.

5. Acceptable use

When using the Service, you agree not to:

• Use it for any unlawful, deceptive, fraudulent, or harmful purpose.
• Generate or publish content that infringes the rights of others, including intellectual property, privacy, or publicity rights.
• Create content that is defamatory, hateful, harassing, or otherwise violates applicable laws or advertising standards.
• Attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its systems.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan.

6. Your content

You retain ownership of the brand information, text, images, and other materials you submit ("Your Content"). You grant us a limited license to host, process, and transmit Your Content as needed to operate the Service and generate your requested output. You are responsible for Your Content and confirm that you have the rights needed to submit it and to use the results.

7. Generated content and AI

The Service uses artificial intelligence to generate content based on your inputs. As between you and us, you may use the content the Service generates for you for your business purposes, subject to these Terms. AI-generated content may be inaccurate, incomplete, or unsuitable for a particular purpose, and similar outputs may be generated for others. You are responsible for reviewing and editing generated content before you rely on or publish it, and for ensuring it complies with applicable laws. The Service does not provide legal, financial, or professional advice.

8. Our intellectual property

The Service, including its software, design, branding, and the Warraaq name and logo, is owned by us and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service. We reserve all rights not expressly granted.

9. Third-party services

The Service relies on third-party providers, such as payment, authentication, hosting, email, and AI providers. Your use of those features may also be subject to the providers' own terms, and we are not responsible for third-party services.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the fullest extent permitted by law, Warraaq will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Warraaq from any claims, damages, and expenses arising out of Your Content, your use of the Service, or your breach of these Terms, to the extent permitted by law.

13. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that may cause harm or legal risk. On termination, your right to use the Service ends, though provisions that by their nature should survive will continue to apply.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and where changes are significant we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Nevada for any dispute arising out of or relating to these Terms or the Service.
